Members Voluntary Liquidation (for solvent companies)
A solvent liquidation (or “MVL”) is a cost effective, tax efficient process, used to close a solvent company (a company with enough assets to pay all of its debts), pay all of its creditors and to distribute its remaining assets to its shareholders.
The tax savings (compared to a striking off) arise due to the differing treatment of distributions for capital gains tax purposes. These invariably exceed the costs of the liquidation procedure.
At Live Recoveries we appreciate that quick distributions are a priority for shareholders therefore we put in place a mechanism which allows the liquidator to make an early distribution of a substantial part of the Company’s liquid funds to them following his appointment.
We can also, with prior approval from shareholders, distribute non-liquid assets of a company to them in kind, thus avoiding the need for the company to sell them.
